EULA - End User License Agreement

THIS LICENSE AGREEMENT ('LICENSE AGREEMENT') IS A LEGAL AGREEMENT BETWEEN YOU AND CADopia Inc ('CADopia'), FOR THE SOFTWARE PRODUCT CADopia 17 ('SOFTWARE'). BY USING THE SOFTWARE PRODUCT, YOU ARE AGREEING UNCONDITIONALLY TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, DO NOT USE THE SOFTWARE. Software Product LicenseThe Software is protected by international copyright treaties and laws, as well as other intellectual property laws and treaties. 1. Grant of LicenseCADopia grants You the non-exclusive, non-transferable, and limited license to Use the Software, including all future releases, updates, and modifications via Internet, subject to the terms and conditions of this License Agreement. You further acknowledge that CADopia is the owner of the software and related documentation. CADopia retains all rights in the software without limitation. 2. You have a license to use the Software only. You agree not to reverse-engineer, disassemble, or decompile the Software. The Software may not be redistributed, sold, rented, or leased. You may not tamper with any proprietary notices or marks from the Software. You acknowledge that the software and any related documentation provided with the Software is a confidential, proprietary property of CADopia. You agree to take reasonable precautions protect the confidential information from unauthorized use and do not disclose to any third party without prior written consent of CADopia. 3. Export ControlBy using this software, you agree that you are complying with applicable local and international laws, including but not limited to the export and import regulations of other countries.Diversion of technology and software contrary to U.S. law is prohibited. You agree and certify that none of the technology and software are being, or will be acquired for, shipped, transferred or re-exported directly or indirectly, to proscribed or embargoed countries or their nationals, nor will be used for purposes prohibited by U.S. export laws. Countries currently subject to US embargo are: Cuba, Iran, Libya, North Korea, Syria and the Sudan. This list is subject to change and you are responsible for complying with the current list set forth in the Export administration Regulations and US Treasury Department Export Regulations.4. ConsiderationThe fees applicable to the license of the software are due in advance upon your acceptance of the terms. All payments hereunder shall be exclusive of federal, state, and local taxes, if applicable.5. DisclaimerTHE SOFTWARE IS PROVIDED 'AS-IS'. CADOPIA MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE QUALITY OR SUITABILITY OF THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE. CADOPIA MAKES NO WARRANTIES, GUARANTEES OR REPRESENTATIONS AS TO THE TRUTH, ACCURACY OR COMPLETENESS OF ANY OF THE MATERIALS CONTAINED IN THE SOFTWARE. NO FREE TECHNICAL SUPPORT OR FUTURE UPDATES IS INCLUDED WITH THE SOFTWARE. CADOPIA MAY PROVIDE TECHNICAL SUPPORT AND FUTURE UPDATES ON AN AS_AVAILABLE BASIS AT CADOPIA'S THEN CURRENT RATES. 6. Entire Agreement This License Agreement constitutes the entire agreement between CADopia and You and supersedes any and all prior agreements, whether written or oral. This License Agreement shall not be modified except by a written agreement executed by an authorized representative of CADopia and You.7. ResponsibilityYOU HAVE SOLE RESPONSIBILITY FOR ADEQUATE PROTECTION AND BACKUP OF DATA AND/OR EQUIPMENT USED IN CONNECTION WITH THIS PRODUCT AND ANY ASSCIATED WEBSITE AND WILL NOT MAKE A CLAIM AGAINST CADOPIA FOR LOST DATA, INACCURATE OUTPUT AND LOST PROFITS FROM USE OF THIS SOFTWARE OR CADoPIA WEBSITE. YOU AGREE TO HOLD CADOPIA HARMLESS FROM ANY CLAIMS BASED ON USE OF THIS WEBSITE AND THE SOFTWARE. 8. Software Warranty CADOPIA SOFTWARE COMES WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. USE THE PRODUCT AT YOUR OWN RISK. BY ACCEPTING THIS AGREEMENT, YOU AGREE TO BEAR ALL COSTS RESULTING FROM THE USE OF THE SOFTWARE.9. CADopia reserves the right to require you to register the product at www.cadopia.com or by other means before you may obtain the activation code for the software.10. GENERALCADopia reserves the right to revise the above policies any time.
